These terms apply to every wholesale order placed through the RUGD B2B portal. Placing an order means you accept them.

01Who this is for

Wholesale accounts are for businesses reselling RUGD products to consumers through physical retail. If you're buying for staff, clients or an event rather than for resale, that's a bulk or corporate order and sits under different terms. Email hello@getrugd.com and we'll sort you out.

We don't supply promotional distributors or resellers.

02Ordering and minimums

Every order needs to hit 30 units or $800 ex GST, whichever you reach first. Mix products however suits your shelf.

Orders are processed one at a time against current stock. We don't hold or reserve stock for an account unless we've agreed to it in writing, so if something is sitting at low stock it's worth getting your order in early.

03Order acceptance

An order placed through the portal is an offer to buy. It becomes a contract when we confirm it in writing or dispatch it, whichever happens first.

We may decline or cancel an order before dispatch. That would usually be because stock has run out, because pricing or a tier discount has displayed incorrectly, or because the order doesn't meet these terms. If you've already paid for an order we decline, we'll refund it in full.

04Changing or cancelling your order

Need to change or cancel an order after placing it? Email hello@getrugd.com as soon as you can and we'll do what we can, up until the order is packed and lodged with the carrier. We can't guarantee it. Once an order is lodged it's on its way and can't be changed.

If you want to cancel because the freight quote doesn't suit, that's a separate right and it's covered in section 07.

05Wholesale pricing

Each product has a starting wholesale price. Once your order crosses a volume threshold, the discount for that tier applies across the whole order.

The table below uses StubCup and StubJug as examples. Starting prices for the full range are in the portal.

All prices are quoted in AUD and exclude GST, freight, engraving and customisation. GST is calculated and shown separately at checkout.

Accessories. Accessories such as StubBoots, lids and straws are charged at a flat wholesale rate. They don't count towards volume thresholds, and volume discounts don't apply to them.

Ordering 500 units or more? Get in touch and we'll quote it directly.

Pricing is reviewed at the end of each financial year in July. Any changes are communicated in writing with reasonable notice before they take effect.

06Payment

Full payment is required before dispatch unless we've agreed otherwise in writing. Payment is made through the portal at checkout, or by bank transfer using the details on your Pro Forma invoice.

Ownership of the products stays with us until we've received payment in full. Risk passes to you on delivery, as set out below.

07Shipping and delivery

Freight isn't charged at checkout. Your order will show freight as TBC. Once the order is placed we compare rates across multiple carriers and invoice freight separately at the best rate we can find for your delivery address and order size.

If the freight quote doesn't suit you, you have two options. Cancel the order for a full refund any time before it's dispatched, or arrange your own carrier.

Booking your own freight. Email hello@getrugd.com and once your order is packed we'll confirm everything your carrier needs: carton count, dimensions, total weight, the collection address, and the dates and times we can have it ready. Book your collection to suit that window and let us know the details so we can have it waiting on the dock.

Missed collections. If your carrier doesn't turn up in the agreed window we'll let you know so you can rebook, and we'll hold the order ready. If the collection is missed because of something on our end, we'll cover any failed pickup fee your carrier charges.

Orders are dispatched once payment clears. Where we arrange freight we select the carrier, and Standard and Express are both available.

Risk of loss or damage passes to you on delivery, or on collection where you've arranged your own carrier.

Keep your delivery address current in the portal. We're not liable for a shipment that goes astray because the details on file were out of date.

08Where you can sell

In store only. RUGD products are sold online exclusively through getrugd.com.

You must not list, display, advertise or sell RUGD products as a shoppable or add-to-cart item on any online channel. That covers your own website, marketplaces like eBay and Amazon, online classifieds, and any social media shopfront, marketplace or checkout feature.

Social media is fine. Post away and let people know you've got RUGD in store, for example "we have StubCups in store now". Just no online ordering, add-to-cart, checkout or direct-purchase functionality attached to it.

09RRP and discounting

The recommended retail price is set by us and shown in the portal. Sell at the current RRP, with one exception.

November and June are open season. These line up with Black Friday / Cyber Monday and End of Financial Year. During either month you're welcome to drop your in-store price on RUGD products by whatever amount you like. It's completely optional and there's no obligation to discount at all.

Outside November and June, don't sell below the current RRP.

We may also run our own promotions that temporarily discount below RRP for the length of that promotion.

Engraving and customisation charges sit outside the product RRP and are entirely at your discretion.

10No exclusivity

We don't guarantee exclusivity to any stockist, and no account can claim exclusive rights to a region or market.

11No resale to third parties

RUGD products bought at wholesale are for sale to consumers in your store. They can't be resold to other businesses, distributors or third parties without our written consent.

12Customisation and engraving

You're welcome to offer laser engraving, branding or other promotional modifications on RUGD products you've purchased. It's entirely optional.

A few conditions:

  • Customised products must not be represented or marketed in a way that misrepresents RUGD or implies we endorse the customising organisation.
  • The RUGD trademark and product name must stay visible on the product unless we've agreed otherwise in writing.
  • You're responsible for making sure any artwork, logos, designs or text used in customisation doesn't infringe third-party intellectual property. You warrant you hold the necessary rights and indemnify us against any claim arising from customisation you perform, or that we perform on your instruction.
  • Where you do the customising, the quality of that work is on you. Defect claims under section 13 cover faults in the product as we supplied it, not faults introduced during customisation.

13Returns and defects

Wholesale purchases are final. Returns are accepted only for products that arrive defective or damaged.

Report any defective or damaged stock within 48 hours of receipt with photos, or as soon as reasonably practicable if your store was closed when the delivery arrived. We'll issue a replacement or credit at our discretion.

Slight variation in colour and finish between production batches is normal and isn't a defect.

Customer warranty claims. RUGD products carry the same warranty whether they're bought from us or from your store. Full terms, coverage periods and exclusions are set out in our warranty policy. Send any customer with a warranty claim to hello@getrugd.com and we'll take it from there.

14Changes to the range

We may change product specifications, materials, packaging or colourways, add products, or discontinue a line at any time. We'll give you as much notice as we reasonably can before a line is discontinued so you can plan your last order.

Product images and descriptions are a guide. Where a change is minor and doesn't materially affect the product, we may supply the updated version against an existing order.

15Brand representation

Represent and market RUGD products in line with our brand guidelines.

You're welcome to use marketing materials we provide, but don't alter them or misrepresent the brand or product. Advertising and product descriptions should line up with what's on getrugd.com or in our official materials. Anything that deviates needs written approval from us first.

Don't use our trademarks, logos, product names or other intellectual property in a way that implies affiliation or endorsement beyond stocking the product.

16Account suspension and closure

Either of us can close a wholesale account at any time with 7 days' written notice.

If something you're doing breaches these terms and it can be fixed, we'll tell you what the problem is and give you 7 days to sort it out before we take any further action.

We may suspend or close an account immediately where the breach goes to the heart of the arrangement, being online sales, resale to third parties, pricing compliance, or trademark and brand use. Any order you've already paid for will still be fulfilled.

17Liability and indemnity

We're not liable for damages, losses or claims arising from your handling, customisation or sale of RUGD products, or for indirect or consequential loss including lost profits.

Where we are liable, our total liability in connection with any order is limited, at our option, to replacing the products or refunding what you paid for them.

You agree to indemnify us against any claim relating to your sale of the product, including claims arising from misleading or incorrect representations you make, or from customisation you've performed. Product descriptions, pricing and promotional messaging need to be accurate and consistent with our official materials. This indemnity doesn't apply to the extent a claim is caused by our own breach, negligence or misconduct.

Nothing in these terms excludes, restricts or modifies any right or guarantee that can't be excluded under the Australian Consumer Law.

18Confidentiality

Account-specific pricing, negotiated terms and any proprietary information we share with you stay confidential and aren't to be disclosed to third parties.

19Privacy

We collect and handle the business and contact details you give us in line with our privacy policy, which explains what we collect, how we use it and how to get in touch about it.

20General

Governing law. These terms are governed by the laws of Queensland, Australia. The parties submit to the non-exclusive jurisdiction of the Queensland courts.

Changes to these terms. We may update these terms from time to time and will give at least 30 days' written notice before a material change takes effect. If a change doesn't suit you, you're free to close your account before it takes effect at no cost. The version in effect when you place an order is the version that applies to that order.

Notices. Written notice means an email to the address on your account, or to hello@getrugd.com for anything you're sending us. Keep your account email current so notices reach you.

Events outside our control. Neither of us is liable for a delay or failure to perform caused by something genuinely outside our reasonable control, including natural disasters, carrier failures, industrial action or supply chain disruption. We'll let you know as soon as we can if something like that affects your order.

If part of these terms doesn't hold up. If any part of these terms turns out to be unenforceable, that part is severed and the rest keeps working.

Waiver. If we don't enforce something straight away, that doesn't mean we've given up the right to enforce it later.

Entire agreement. These terms are the whole agreement between us on this subject and replace any prior discussions, unless we've signed a separate written agreement with you that says otherwise.

Acceptance. Placing an order through the RUGD B2B portal confirms you've read, understood and agreed to these terms.
