This website is operated by Get RUGD Pty Ltd (ABN 42 668 011 836), trading as RUGD ("RUGD", "we", "us" or "our"). We offer this website, including all information, tools and services available from it (the "Site"), to you on the basis of these Terms of Service ("Terms").

By browsing the Site or placing an order, you agree to these Terms. If you don't agree to them, please don't use the Site.

Our store is hosted on Shopify Inc., which provides the e-commerce platform that lets us sell our products to you.

1. ELIGIBILITY

You must be at least 18 years old to place an order. If you're under 18, you may only use the Site with the involvement of a parent or guardian, who is responsible for the order.

You must not use our Site or products for any unlawful or unauthorised purpose, or transmit any virus, worm, malware or other destructive code.


2. OUR OTHER POLICIES

The following policies form part of these Terms and apply to your order:

Where you order as a business under a wholesale, bulk or corporate agreement, the terms of that agreement, quote or order form take precedence over these Terms where they differ.


3. ORDERS AND WHEN A CONTRACT IS FORMED

When you place an order you're making an offer to buy. Our order confirmation email acknowledges we've received your order. It doesn't mean we've accepted it.

A contract is formed only when we dispatch your order, or when we email you to confirm acceptance, whichever happens first. Until then we may decline or cancel your order and refund you in full, including where:

  • An item is out of stock
  • There's been an obvious pricing, description or stock error
  • We can't verify your payment or delivery details
  • We reasonably suspect fraud or misuse of our policies
  • The order appears to be for resale and isn't an approved wholesale order

We may limit quantities per person, household or order, including orders placed under the same account, card, or billing or shipping address. If we change or cancel an order, we'll contact you using the email address, billing address or phone number you gave us.

We may refuse or discontinue supply to any person or place, acting reasonably and in accordance with applicable law.


4. PRICING, GST AND PAYMENT

Prices for Australian orders are shown in Australian dollars and include GST. Prices shown in other currencies are converted for display and the amount charged may vary slightly with exchange rates and your bank's fees.

International orders may attract customs duties, taxes and import charges on arrival. These aren't included in our prices and are your responsibility.

Prices, products and promotions can change at any time before you place an order. Once we've accepted your order, the price for that order won't change.

Payment is processed by our third-party payment providers. We don't store your full card details.


5. PRE-ORDERS AND BACKORDERS

Some items are sold as pre-orders or backorders. Dispatch dates shown for these items are estimates based on our production and freight schedule, not guarantees, and can move for reasons outside our control.

We'll keep you updated if an estimated date changes materially. You can cancel a pre-order for a full refund at any time before it ships. Refund amounts during promotional periods are dealt with in our Returns, Refunds and Warranty Policy.


6. PROMOTIONS, DISCOUNT CODES AND GIFT CARDS

Discount codes and promotions are subject to any conditions published with them, can't be used with other offers unless we say so, have no cash value, and can be withdrawn or amended at any time before you place an order.

We may cancel orders and void codes where a code has been obtained or used improperly, including sharing codes intended for a single customer, using codes generated by unauthorised means, or stacking codes to defeat a stated limit.

Gift cards and store credit aren't redeemable for cash and are subject to the expiry rules required by Australian law.


7. DELIVERY, TITLE AND RISK

Delivery timeframes are estimates. Title and risk in the goods pass to you on delivery to the address you provided.

Please make sure your delivery address is correct and complete at checkout. Delivery problems, lost parcels and parcels marked as delivered are dealt with in our Returns, Refunds and Warranty Policy.


8. PRODUCT INFORMATION, COLOURS AND AVAILABILITY

We've made every effort to display our products, colours and specifications accurately, but we can't guarantee your device displays colour accurately, and batch colours can vary slightly.

Product availability is limited and colours may be discontinued. Information on the Site, including blog and historical content, is general information only and we may update it at any time.

Occasionally there may be typographical errors, inaccuracies or omissions relating to product descriptions, pricing, promotions, shipping charges, transit times or availability. We may correct these and cancel affected orders under clause 3, and we'll refund you in full if we do.


9. PERSONALISED AND ENGRAVED ORDERS

Where you order an engraved, printed or personalised product, or supply artwork for a bulk or corporate order:

  • You're responsible for the accuracy of the text, spelling and artwork you supply. Please check your proof carefully, because we produce to what you approve.
  • You warrant that you own or are licensed to use any logo, artwork, name or other material you supply, and that its use doesn't infringe anyone's rights.
  • You agree to indemnify us against any claim by a third party arising from artwork or content you supplied to us, to the extent the claim isn't caused by us.
  • Personalised and made-to-order items can't be returned for change of mind once production has started. Your rights for faulty goods, or where the finished product doesn't match the proof you approved, are unaffected.

We may decline to produce artwork we reasonably believe is unlawful, infringing or offensive.


10. RETURNS, REFUNDS AND WARRANTY

Returns, change of mind, damaged or faulty goods, and our lifetime vacuum insulation warranty, 2 year stainless steel warranty and 6 month warranty on silicone and soft components are all set out in our Returns, Refunds and Warranty Policy, which forms part of these Terms.


11. PRODUCT SAFETY

Our products include metal components, integrated bottle openers and stainless steel straws. Please read and follow the safety information in our Returns, Refunds and Warranty Policy and any instructions supplied with your product, keep products and accessories away from young children, and inspect all parts before use.


12. RESALE AND UNAUTHORISED SELLERS

Products bought from the Site are for personal use. You must not buy our products for the purpose of resale without a written wholesale agreement with us.

We don't supply promotional distributors or resellers. We may cancel orders and decline future orders where we reasonably believe products are being bought for unauthorised resale.

Our warranties cover products bought from getrugd.com or an authorised RUGD stockist. They don't cover products bought second hand or from an unauthorised reseller or marketplace listing.


13. YOUR INFORMATION AND ACCOUNT

You agree to give us current, complete and accurate purchase and account information, and to keep it up to date so we can complete your transactions and contact you when we need to. You're responsible for keeping any account login secure.


14. ACCEPTABLE USE

You must not use the Site or its content:

  • for any unlawful purpose, or to encourage anyone else to break the law;
  • to infringe our intellectual property rights or anyone else's;
  • to harass, abuse, insult, harm, defame, intimidate or discriminate;
  • to submit false or misleading information;
  • to upload viruses or other malicious code;
  • to collect or track other people's personal information;
  • to spam, phish, pharm, pretext, spider, crawl or scrape;
  • for any obscene purpose; or
  • to interfere with or circumvent the security features of the Site.

You must not reproduce, duplicate, copy, sell or resell any part of the Site or the services provided through it without our written permission.


15. INTELLECTUAL PROPERTY

All content on the Site, including text, photography, video, graphics, logos, product designs and software, is owned by or licensed to us and is protected by intellectual property laws.

RUGD, StubCup, StubJug, StubBoots and SwigSip, together with our logos and get-up, are our trade marks. You must not use them without our written permission, except that approved stockists may use our brand assets in line with the Logo Usage Guide we provide.

Nothing on the Site grants you any licence or right to use our intellectual property.


16. REVIEWS, USER CONTENT AND SOCIAL MEDIA

If you post a review, tag us, or send us photos, videos, comments, ideas or suggestions ("User Content"), you keep ownership of it. You grant us a worldwide, royalty-free, non-exclusive licence to use, reproduce, edit, publish and display that User Content on our Site, in our marketing, on our social media channels and in our advertising, with credit where practical.

You confirm that your User Content is yours to share, that it doesn't infringe anyone's rights, and that everyone identifiable in it has agreed to appear.

You can ask us to stop using your User Content at any time by emailing hello@getrugd.com, and we'll remove it from anything we control going forward. We may remove or decline to publish User Content that's unlawful, misleading, offensive or infringing.

We're not obliged to keep User Content confidential, to pay for it, or to respond to it. Photos you send us as part of a warranty or damage claim are used to assess your claim and won't be used in marketing unless we ask you first.


17. THIRD-PARTY LINKS AND TOOLS

The Site may link to, or give you access to, third-party websites, materials and tools that we don't control. We provide access to them as is, without endorsement, and we're not responsible for their content, accuracy or practices. Please review their terms before using them. Complaints about a third party's products should go to that third party.


18. PRIVACY

Your personal information is handled in accordance with our Privacy Policy, which forms part of these Terms.


19. SMS AND MOBILE MESSAGING

If you opt in to our SMS programs, your participation is governed by our Mobile Terms of Service, which is incorporated into these Terms. It covers the types of messages you may receive, message frequency, how to opt out by replying STOP, that message and data rates may apply, and how we handle your mobile number.


20. THE SITE IS PROVIDED AS IS

This clause applies to the Site and the online service, not to the products we sell you. Our products are covered by our Returns, Refunds and Warranty Policy.

We don't warrant that your use of the Site will be uninterrupted, timely, secure or error free, or that results obtained from it will be accurate or reliable. We may modify, suspend or discontinue the Site or any part of it at any time. To the extent permitted by law, the Site is provided on an as is and as available basis.


21. LIMITATION OF LIABILITY

Nothing in these Terms excludes, restricts or modifies any right or remedy you have under a law that can't be excluded, and this clause is subject to those rights.

To the extent permitted by law, we aren't liable for any indirect, incidental, special or consequential loss, including loss of profit, revenue, savings or data, arising from your use of the Site.

Where the goods or services we supply aren't of a kind ordinarily acquired for personal, domestic or household use, our liability for failure to comply with a consumer guarantee is limited, at our option, to replacing the goods, supplying equivalent goods, repairing the goods, or paying the cost of doing any of those things.


22. INDEMNITY

You agree to indemnify us against any claim, loss or reasonable legal cost we incur arising from your breach of these Terms, your infringement of a third party's rights, or artwork or User Content you supplied to us. This indemnity doesn't apply to the extent the claim or loss was caused or contributed to by us, our employees or our contractors.


23. EVENTS OUTSIDE OUR CONTROL

We're not liable for a delay or failure to perform caused by something outside our reasonable control, including natural disasters, extreme weather, fire, flood, pandemic, industrial action, freight and port delays, carrier failures, supplier failures, and interruptions to power, internet or third-party platforms. If a delay is significant, we'll let you know and you can cancel the affected order for a full refund.


24. SUSPENSION AND TERMINATION

You can stop using the Site at any time.

We may suspend or terminate your access to the Site, cancel orders, or decline future orders where you breach these Terms, or where we reasonably believe you're misusing our returns, warranty or promotional policies or engaging in fraud. Where it's reasonable to do so, we'll give you notice and a chance to fix the problem first. You remain liable for amounts owing up to termination.


25. CHANGES TO THESE TERMS

We may update these Terms from time to time by posting the updated version on this page with a new "last updated" date. The version that applies to your order is the version published when you placed it. Changes don't apply retrospectively to orders we've already accepted.


26. GENERAL

Severability. If any provision of these Terms is unlawful, void or unenforceable, it's severed to the minimum extent necessary and the rest of the Terms continue to apply.

Entire agreement. These Terms, together with the policies referred to in clause 2, are the entire agreement between us about your use of the Site, and replace any earlier terms.

Assignment. You may not assign your rights under these Terms without our consent. We may assign ours as part of a sale or restructure of our business, provided your rights aren't reduced.

Waiver. If we don't enforce a right, that doesn't waive it.


27. GOVERNING LAW

These Terms are governed by the laws of Queensland, Australia. You and we submit to the non-exclusive jurisdiction of the courts of Queensland and the courts able to hear appeals from them.

If you live outside Australia, nothing in this clause deprives you of the protection of any mandatory consumer law that applies where you live.
